Welcome to Modern Retreat. The terms “we,” “us,” and “our” refer to Modern Retreat. Modern Retreat operates this store and website, including all related information, content, features, tools, products, and services offered to you (collectively, the “Services”).

Modern Retreat is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service (“Terms”) describe your rights and responsibilities when you access or use our Services or purchase products from us. By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our applicable store policies.

Please read these Terms carefully before using our Services or placing an order.

By agreeing to these Terms, you represent that you are at least the age of majority in your state or jurisdiction of residence.

Placing an order constitutes an offer to purchase the products in your order.

We reserve the right to accept, reject, modify, or cancel an order when reasonably necessary, including because of product availability, supplier availability, pricing or listing errors, payment issues, suspected fraud, shipping limitations, or other circumstances affecting our ability to fulfill the order.

Payment authorization or receipt of an order confirmation does not necessarily constitute final acceptance of an order.

Please review your order carefully before submitting it. Because many products are supplier-fulfilled, oversized, custom-prepared, or shipped by freight, cancellation may become unavailable or subject to applicable fees once processing or shipment preparation begins.

Returns, cancellations, exchanges, and refunds are governed by our Return and Refund Policy.

SECTION 4 — PRICES, PAYMENT, AND BILLING

Prices, promotions, discounts, and availability may change without notice.

The price charged will generally be the price displayed when the order is submitted, subject to correction of obvious errors or inaccuracies as permitted by applicable law.

Unless otherwise stated, displayed product prices may not include applicable taxes, special delivery charges, handling charges, remote-area charges, or other charges that may apply to a particular order or destination.

SECTION 5 — SHIPPING AND DELIVERY

Products may be shipped directly by third-party suppliers, manufacturers, distributors, warehouses, or freight carriers.

Shipping and delivery dates are estimates unless expressly stated otherwise and are not guaranteed.

Delivery may be affected by product availability, supplier processing, carrier schedules, weather, holidays, road conditions, remote destinations, natural disasters, labor disruptions, and other circumstances outside our reasonable control.

Some products may arrive in multiple boxes, pallets, crates, or separate shipments. Packages belonging to the same order may arrive separately.

Oversized and Freight Deliveries

Many garages, shelters, buildings, equipment products, and other oversized merchandise require freight delivery.

Freight deliveries may require an appointment and an accessible delivery location capable of accommodating a commercial freight vehicle.

Customers are responsible for providing accurate delivery information and an appropriate telephone number so the carrier can coordinate delivery when required.

Some products may require the customer to provide suitable unloading equipment, including a forklift, tractor, skid steer, or other appropriate equipment. Liftgate service may not be available for certain oversized shipments.

Customers are responsible for reviewing the applicable product description and shipping information before ordering.

Additional charges may apply for remote locations, limited-access locations, residential or farm delivery, construction sites, redelivery, storage, address corrections, special-access requirements, or other carrier services where applicable.

Customers are responsible for ensuring that the delivery location is accessible and for costs resulting from incorrect delivery information, missed appointments, inaccessible locations, or customer-requested special services where permitted by law.

SECTION 6 — SITE PREPARATION, INSTALLATION, AND PERMITS

For garages, buildings, shelters, structures, and similar products, customers are responsible for determining whether the product is appropriate for the intended location and use.

Unless expressly stated otherwise, customers are responsible for site preparation, foundations, unloading, assembly, installation, permits, zoning requirements, building-code compliance, inspections, engineering requirements, and other local requirements.

Customers should verify applicable requirements with the appropriate local authorities before ordering or installing a structure.

Modern Retreat does not represent that a particular structure or product will satisfy every local building code, zoning requirement, snow-load requirement, wind-load requirement, permit requirement, or other regulation unless expressly stated in writing.

SECTION 7 — INSPECTION OF FREIGHT SHIPMENTS

Customers should inspect freight shipments carefully at delivery.

If visible damage, missing packages, or damaged packaging is discovered, customers should note the issue on the carrier’s delivery documentation before accepting the shipment whenever reasonably possible.

Customers should photograph damaged packaging and merchandise and retain packaging materials while any claim is being reviewed.

Damage, shortage, defect, or incorrect-product claims should be reported promptly so we can work with the supplier and carrier toward an appropriate resolution.

SECTION 8 — RETURNS, CANCELLATIONS, AND REFUNDS

Returns, cancellations, and refunds are governed by our Return and Refund Policy.

Because many products are large, heavy, high-value, or freight-shipped, unauthorized returns may not be accepted.

Depending on the circumstances and where permitted by law, return freight, restocking fees, handling charges, storage charges, or other applicable costs may be deducted from an approved refund.

Nothing in these Terms limits rights or remedies that cannot legally be excluded or limited.

SECTION 9 — THIRD-PARTY SUPPLIERS AND SERVICES

We may use third-party suppliers, manufacturers, distributors, payment processors, shipping carriers, software providers, and other service providers to operate our business and fulfill orders.

Product fulfillment and delivery may therefore involve third parties.

We are not responsible for third-party websites or services that are outside our control. Your use of third-party websites or services may be subject to their own terms and policies.

SECTION 10 — RELATIONSHIP WITH SHOPIFY

Modern Retreat is powered by Shopify, which enables us to provide the Services to you. However, sales and purchases made through our store are transactions directly between you and Modern Retreat.

Shopify is not the seller of products offered by Modern Retreat and is not responsible for fulfilling our customer orders.

SECTION 11 — INTELLECTUAL PROPERTY

The Services and their content, including text, graphics, logos, images, designs, and other materials, may be owned by Modern Retreat, our suppliers, licensors, Shopify, or other third parties and may be protected by intellectual-property laws.

You may use our Services for lawful personal use. You may not reproduce, distribute, modify, republish, commercially exploit, or otherwise misuse protected content without authorization from the applicable rights holder.

Shopify and other third-party names, trademarks, logos, and product names remain the property of their respective owners.

We may provide access to third-party tools, applications, services, or links.

Third-party services are provided subject to their respective terms and policies. We do not control and are not responsible for third-party websites or services outside our control.

Because our store is hosted by Shopify and uses third-party providers to process payments, fulfill orders, provide shipping, and operate the store, information may be shared with service providers when reasonably necessary to provide the Services.

If you voluntarily submit reviews, suggestions, photographs, comments, ideas, or other feedback, you represent that you have the right to provide that material and that it does not violate the rights of another person.

Manufacturer or supplier warranties, when applicable, may be subject to separate terms provided by the manufacturer or supplier.

Nothing in these Terms excludes warranties, consumer protections, or other rights that cannot legally be excluded.

SECTION 18 — LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Modern Retreat and its service providers will not be liable for indirect, incidental, special, punitive, or consequential damages arising from use of the Services or products purchased through the Services where such liability may lawfully be limited.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

SECTION 19 — INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold Modern Retreat and its affiliates, employees, contractors, and service providers harmless from third-party claims arising from your unlawful use of the Services, your material violation of these Terms, or your infringement of another person’s rights.

SECTION 20 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary, without affecting the validity of the remaining provisions.

SECTION 21 — WAIVER AND ENTIRE AGREEMENT

Our failure to enforce a provision of these Terms does not constitute a waiver of that provision.

These Terms together with the policies referenced through our store constitute the agreement governing your use of the Services, subject to any additional terms that may apply to particular products or services.

SECTION 22 — ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent where such consent may lawfully be required.

We may assign or transfer our rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, or other lawful business transaction.
